(hereinafter „ReBe secondhand UG”)

1. General

    1. The ReBe platform is an online platform provided by ReBe secondhand UG for the sale of pre-owned clothing, accessories, shoes, underwear, and sustainable fashion. On the ReBe platform, partners (“you” or ‘partners’) offer their services to interested buyers (“customers”). ReBe secondhand UG and the partner are hereinafter also referred to collectively as “parties.”
    2. ReBe secondhand UG and the ReBe platform act as intermediaries for the relevant contracts, which are established directly between the customers and you as a partner. ReBe secondhand UG receives the fees specified in these Partner Terms and Conditions for these intermediary services and other services.
    3. These Platform Partner Terms and Conditions (hereinafter also referred to as “Partner Terms and Conditions”) govern the fundamental legal relationships between the parties and apply when the parties conclude a “Partner Agreement” within the framework of a separate agreement, for example, via the registration process completed by the Partner or an offer accepted by the Partner or via a contract negotiated between the parties. The Partner Agreement concluded on the basis of such an agreement therefore consists of the respective agreement and these Partner Terms and Conditions. All provisions made in the separate agreement take precedence over the provisions of these Partner Terms and Conditions.
    4. In addition to the partner agreement between you and us, a direct contractual relationship between you and the respective customer is established regarding the purchase of your service. Your own terms and conditions (including general terms and conditions, collection conditions, shipping conditions, cancellation policy, warranty provisions) apply to this relationship.
    5. The partner agreement applies exclusively to the services we provide to you. Any deviating terms and conditions of the partner shall not apply to us and shall therefore not form part of the agreement. The validity of such terms and conditions is expressly rejected. The priority of individual agreements between the parties over this partner agreement remains unaffected.
    6. The ReBe platform is available exclusively to partners who offer their services in the course of their business activities and thus as companies within the meaning of Section 14 of the German Civil Code (BGB), as public-law corporations, or as special funds under public law.

2. Performance obligations

  1. ReBe secondhand UG offers a brokerage platform (hereinafter also referred to as the “Platform”) for your services as a partner with its “ReBe Platform.” Your services in particular include the sale of pre-owned (also “upcycled”) clothing, accessories, and shoes, as well as underwear and sustainable fashion (hereinafter also collectively referred to as “Partner Services”).
  2. You are responsible for shipping your products to theo customer at your own risk after a customer has placed an order via our ReBe platform and after you have received the corresponding payment.
  3. We provide you with platform services, in particular the provision of our platform as a technical environment for the presentation of your partner services, the mediation of the establishment of a contract for the use of your partner services by customers, and the processing of and support for payment and administrative processes (hereinafter also referred to as “platform services”).
  4. If mutually agreed, we will also undertake marketing activities on your behalf in connection with the provision of our platform services, such as presenting you and your partner services on our social media channels and through content marketing (hereinafter referred to as “marketing activities”).
  5. We also provide support to you and your customers in relation to the provision of our platform services to an extent that is possible for us. We accept inquiries by email at info@rebe.vision during normal business hours ( generally between 9 a.m. and 5 p.m. on weekdays). We usually respond to inquiries within 24 hours or forward them to you or your customers for clarification.
  6. Unless explicitly agreed otherwise, the contractual relationship regarding the use of your partner services is established directly between you and the customer. In this regard, the ReBe platform essentially functions as a technical environment for presenting your partner services. We therefore do not become a contractual partner in contracts between you and your customers.
  7. Through our platform and the corresponding technical possibilities contained therein, or the platform services provided by us, contracts are concluded directly between you as a partner and your customers who book your partner services via our platform. For this reason, by accepting these Partner Terms and Conditions, you also agree to the manner in which the contracts between you and your customers are concluded. The conclusion of these contracts between you and the customers is governed, among other things, by our Customer Terms and Conditions. The Customer Terms and Conditions thus become an integral part of our contractual relationship with you. Therefore, please inform yourself in detail about the (technical) operation of the platform, the formation and execution of contracts between you and the customer, and the resulting rights and obligations. Further explanations can be found in our Customer Terms and Conditions, which are available at rebe.vision/en-de/legal/terms or which we will be happy to provide you with if required.
  8. The following applies to you as a partner:
    • You are free to choose the location and time of your partner services;
    • Unless stated otherwise in the partner agreement, you are not subject to any guidelines regarding the manner in which you perform your partner services.
    • You have the right to refuse individual orders from your partner services without giving reasons before accepting orders from your partner services. Conversely, you are not entitled to a specific minimum volume of orders relating to your partner services.
    • You are independently and solely responsible for the proper tax assessment and treatment of the partner services you offer via our platform and the contracts subsequently concluded between you and your customers;
    • You are free to work for other parties. Our prior consent is not required for this.

3. Requirements for your listing on the ReBe platform

  1. Our platform only lists services and partners that meet our requirements. These requirements are set out below in the ReBe Partner Guidelines. We reserve the right to adjust these requirements if this is objectively necessary or to ensure customary safety and quality standards.
  2. ReBe Partner Guidelines:
    1. You are obliged to ensure that your partner profile on the ReBe platform is always up to date in terms of content, classification, completion, images, and layout, and to maintain it accordingly. To this end, you must enter the necessary information and files into your partner profile yourself, if technically possible, or otherwise send them to us for entry upon our request.
    2. All data required for the mediation of your partner services and the processing of corresponding order transactions, including personal customer data, is automatically synchronized between the ReBe platform and your shop system via the technical interface provided by us (e.g., Shopify integration).
    3. Unless we provide specific guidelines regarding shipping, returns, cancellation, or service conditions, you are responsible for preparing your own terms and conditions (including general terms and conditions, collection conditions, shipping conditions, cancellation policies, warranty provisions) applicable to the sale of your partner services for your own customer relationships with regard to your partner services and for making these available to your customers on our platform. These terms and conditions must at least meet our requirements as set out in the partner agreement and must be provided to us in German and (upon agreement) in English so that we can provide them to customers via the ReBe platform.
    4. You must provide a description of your partner services in German and (by prior agreement) in English. This service description must contain a description of the composition and components of your partner services that is easy for the customer to understand and follow.
    5. If available and required by law in relation to your partner services, you must provide proof of certification of your partner services in German and (by arrangement) in English, in electronic form.
    6. You are obligated to comply with the statutory warranty provisions in relation to us and your customers (including liability for defects) and, when providing your partner services, to observe and fulfill the applicable statutory provisions (e.g., revocation, cancellation, termination, withdrawal, etc.) in relation to your customers independently and on your own responsibility.
    7. The images, texts, graphics, videos, etc. used on the ReBe platform to present your partner services must, if provided by you, be permitted and lawful under applicable law (e.g., copyright law, competition law, etc.).
    8. The images, texts, graphics, videos, etc. used on the ReBe platform to present your partner services must contain detailed and accurate information and descriptions of your partner services, including well-lit and detailed photos of your partner services.
    9. You must obtain all permits and licenses required by law and authorities that are necessary or appropriate for the operation or distribution of your partner services at your own expense and present them upon request.
    10. Your prices must always be transparent and easy for your customers to understand. There must be no hidden costs. This applies in particular to the display of VAT. All information must, where necessary, comply with the legal regulations that apply to consumers.
    11. You are obliged to maintain or take out appropriate insurance coverage at your own expense for claims by your customers or us (e.g., insurance, business liability insurance, and financial loss liability insurance with adequate coverage) so that any damage caused by you and your partners to us or your customers can be covered.
    12. You guarantee that you will independently and fully comply with all import and export regulations in relation to the partner services you offer through our brokerage services.
    13. You may not refer to your own website in your partner profile on the ReBe platform, advertise services offered outside the platform, or ask customers to contact you outside the platform. You are, of course, permitted to offer your services outside the ReBe platform. In this respect, there is no exclusivity obligation.
    14. If we offer you or your customers technical means of communication for the exercise of your customers’ rights towards you, in particular, for example, for the exercise of a customer’s right of withdrawal towards you, we will forward the corresponding declarations of the customers directly to you. This means that any declaration made by a customer to you via the technical means provided by us is considered to have been made exclusively to you. Despite the technical means of communication provided by us, your customers’ rights are governed solely by your terms and conditions, which you must provide to your customers as part of your presence and sales process on the ReBe platform.
    15. For all services and their display on the ReBe platform, you must also comply with the following regulations regarding the images, videos, texts, and their content, layout, and format (“content”) used:
      • You are the owner of your content or have all the necessary licenses, rights, consents, approvals, and powers of attorney to authorize us to use the content in accordance with this partner agreement.
      • The content you use does not infringe or affect the intellectual property rights or other rights of third parties in any way.
      • You have the necessary qualifications and credentials, as well as the expertise (including the necessary education, training, qualifications, certificates, and skills) to create your content and operate your business.
      • You ensure that the quality of your services meets the standards of your industry.
      • You will not post any inappropriate, offensive, racist, inflammatory, sexist, pornographic, false, misleading, inaccurate, infringing, defamatory, or slanderous content or information.
      • You will not post or transmit any unsolicited or unauthorized advertisements, promotional materials, junk mail, spam, or other solicitations (commercial or otherwise) to customers in connection with your Content.

3. We are entitled to refuse the sale or brokerage of your services via our platform and to block or exclude you as a partner or to terminate the partner agreement without warning if we receive repeated complaints about you or if you repeatedly fail to comply with the requirements of this partner agreement, other requirements communicated by us, or legal regulations. We will inform you of this immediately and give you the opportunity to comment. Before a complete suspension or exclusion, we will inform you 30 days in advance, stating the reasons. If you remedy the reason that led to the rejection, suspension, or exclusion, we will consider reinstating your services on our platform.

4. Ranking & advertising space

    1. The ranking of customer search results is based on the following criteria:
      1. Product sought
      2. Desired size
      3. Desired colour
      4. Desired price
      5. For registered customers: Recommendations based on previous orders or search behavior
      6. Desired gender
    2. You can book “advertising space” on the ReBe platform for a separate fee. Booking advertising spaces improves the placement of your partner services or your partner profile. You are responsible for the use and design of the advertising space in accordance with the ReBe Partner Guidelines. No impressions (e.g., CPM) can be guaranteed for “advertising space” (advertising banners). The ranking of the placement of the advertising spaces you have booked is designed in such a way that each advertising banner appears as often as other advertising banners booked by other partners in the most relevant places on our platform within the scope of the booked advertising conditions.

5. Security & Quality Check

  1. We are entitled to carry out a security and quality check on you and your partner services before or during the provision of partner services on the ReBe platform. This will be carried out either by us or by a third party commissioned by us, who will be bound to complete confidentiality.
  2. The Security & Quality Check assesses the suitability of your partner services for the target group addressed by the ReBe platform and the quality of your partner services. In particular, we check your creditworthiness, reliability, and previous customer satisfaction.
  3. If, during this security and quality check, we determine that you do not meet the requirements of the ReBe platform, we may refuse to conclude the partner agreement, or the legal consequences of Section 3 (3) shall apply.

6. Self-assessment and audit

  1. We may request self-assessment information from you as proof of compliance with the contract.
  2. Self-assessments may be carried out, particularly if there is concrete suspicion of conduct in breach of contract, e.g. to check whether the required security and quality standards are being met.
  3. Each party shall bear the costs resulting from any self-assessment.

7. Subcontractor

If you have subcontractors perform all or part of the Partner Services you are required to provide, you must ensure that these subcontractors fulfill all obligations under the Partner Agreement. You are responsible for all actions of your subcontractors and are liable for any fault on the part of your subcontractors to the same extent as for your own fault.

8. Registration & Usage

    1. To use the ReBe platform as a sales and/or purchase platform, you must first register as a partner. By clicking on the corresponding button (e.g., “Register”), you are submitting a legally binding application to conclude a partner agreement with us under the terms and conditions of the Partner Terms and Conditions. If you are registering on behalf of a company or other organization, a partnership, or a legal entity, you guarantee that you are authorized to legally represent and bind them. We will confirm or reject your application at our own discretion. Upon our confirmation, a partner agreement between us and you for the use of the ReBe platform’s services will come into effect. We reserve the right to review and activate or block your partner profile at any time.
    2. You must provide the documents relevant for the sale or brokerage of your partner services via the ReBe platform, such as your logo, legal notice, terms and conditions, cancellation policy, and other contractually or legally required information. We will integrate this information into the ReBe platform and display it to customers during the ordering process.
    3. Since it is not currently technically possible for you to edit or update this information yourself, you are obliged to notify us of any changes in writing without delay so that we can make the appropriate adjustments. A direct editing option may be made available to you in the future.
    4. You are responsible for the information you provide in your partner profile in the description of your partner services on our platform. The data you store on our platform must be complete and truthful. Your information must not infringe on the rights of third parties, in particular name and trademark rights. You may not disclose your stored data, passwords, etc. to third parties.

9. Costs 

    1. For every successful referral of your partner services via our ReBe platform or through our referral services, we receive a revenue-based commission from you. The regular commission rate is 12% of the net revenue you generate from offering your services. This commission is considered remuneration for all of our platform services as well as our marketing and support measures.
    2. If individual special conditions have been agreed with you, these deviating provisions shall take precedence in accordance with the respective contractual agreement.
    3. The booking of advertising space in accordance with Section 4 (2) of these Partner Terms and Conditions is subject to separate fees, which we will inform you of during the respective booking process.
    4. The commission referred to in paragraph 1 is the final amount and includes all costs, including VAT and transaction fees.
    5. For the booking of advertising space in accordance with Section 4 (2), the fees incurred for this shall be charged plus the applicable sales tax.
    6. We provide you with a monthly evaluations of
      1. the number of partner services ordered through our brokerage services,
      2. the total net sales you generate as a result,
      3. the commission retained by us in this regard,
      4. customer complaints received by us.
    7. In addition to Section 9 (1), you are obliged to pay the commission specified above if the contact between you and the customer was established via the ReBe platform, regardless of how the contract for the services between you and the customer was concluded.
    8. We are entitled to use payment service providers for the entire billing process. You may need to enter into a separate contractual relationship with these payment service providers in order to use their services. We are not responsible for this contractual relationship between you and the payment service providers. All fees incurred in this context, including transaction costs and any basic fees, will be covered by us. The assumption of costs applies exclusively to payments processed via the ReBe platform. For payments processed independently by the partner outside the ReBe platform, the partner shall bear the fees incurred.
    9. If you have issued the customer with a voucher for the use of your partner services, we are entitled to claim or retain our commission even if the customer does not redeem this voucher during its validity period and it consequently expires.
    10. In the event of justified withdrawal, cancellation, etc. of partner services purchased through our brokerage services, resulting in you losing (part of) your claim to compensation from the customer, our commission claim shall cease to apply (also retroactively and, if applicable, pro rata). Any payments already made at this point in time will be refunded (pro rata, if applicable).

10. Liability

    1. We are liable for damages that we cause you in connection with our rights and obligations under the partner agreement, subject to the following provisions, in accordance with the law.
    2. In the event of negligence, we shall only be liable if this involves a breach of a fundamental contractual obligation. A fundamental contractual obligation is an obligation whose fulfillment is essential for the proper execution of a contract and on whose fulfillment the other party may regularly rely. In the event of negligence, liability shall be limited to foreseeable damage typical for this type of contract. Liability for compensation for indirect property damage and financial loss, in particular lost profits, is completely excluded in cases of minor negligence. In cases of force majeure and free use, our liability for minor negligence is excluded altogether.
    3. We shall be liable without limitation in the event of injury of life, limb, or health, as well as in the event of intentional or fraudulent acts. The same shall apply in the event of a written guarantee of the quality or durability of services to be provided by the parties. Liability under the Product Liability Act shall remain unaffected.
    4. You are responsible for any fault on the part of your subcontractors as if it were your own fault.
    5. If you breach your obligations under this agreement, in particular the obligations set out in section 3, you shall indemnify us against any resulting liability and claims by third parties upon first request and reimburse us for any costs of legal action.
    6. You are solely responsible for the contractual relationship between you and your customers. If one of your customers makes a claim against us due to an action or omission on your part that is in breach of your obligations, you must indemnify us against any resulting liability and claims upon first request and reimburse us for the reasonable costs of legal action.

11. Usage Rights & Indemnification

    1. You grant us all the necessary (copyright) usage rights and industrial property rights to your partner services, company names, brand names, and any content provided, etc., for the provision of our platform services, online and offline marketing, in particular via the social media channels Instagram, Facebook, TikTok, YouTube, LinkedIn, sales, and any support measures.
    2. You guarantee that your partner services are free from conflicting third-party rights. Please inform us immediately in writing if you become aware of any third-party rights to your partner services.
    3. You shall indemnify us fully and upon first request against any and all claims, in particular claims for payment and damages due to the infringement of third-party rights by your services or content. At your request, we shall grant you the right to defend yourself against claims asserted by third parties and provide you with all necessary information, issue statements, and grant powers of attorney.

12. Privacy

If, under this contract, you are given the opportunity to access (personal) data from us or our customers, you guarantee that you will only process this data in a legitimate manner, for a purpose that complies with the contract, and in accordance with legal requirements. In the event of the processing of personal data by us or by you in accordance with instructions and for a specific purpose, we will conclude a corresponding data processing agreement in accordance with Art. 28 GDPR at your separate request.

We have access to personal data and other data that you or customers have provided for the use of your partner services or that is generated in the course of providing our platform. Further details on data protection are set forth in our privacy policy and, where applicable, in the data processing agreement.

13. Confidentiality

    1. Within the scope of the cooperation, the parties will become aware of business secrets of the other party or third parties, in particular of customers. A trade secret is information that is not generally known or readily accessible to persons within the circles that normally deal with this type of information, either in its entirety or in the precise arrangement and composition of its components, and which therefore has economic value and is subject to reasonable confidentiality measures and where there is a legitimate interest in maintaining confidentiality (cf. Section 2 GeschGehG). A trade secret is also information that is marked as a trade secret, that is protected by industrial property rights or copyright, that is covered by banking secrecy or data protection, and in which there is a legitimate interest in confidentiality. Information that is known to the other party prior to disclosure, that has become known to the public after disclosure without the involvement of the disclosing party, that has been learned by the disclosing party from a legitimate third party, and that has been developed by the disclosing party itself is not considered a trade secret.
    2. The disclosed party, as well as all those who come into contact with trade secrets in accordance with their intended purpose, are obliged to treat the trade secrets as strictly confidential and only to use them or disclose them to third parties and employees if this is necessary in connection with the business purpose. Furthermore, the disclosed party shall protect the trade secrets from being disclosed to third parties.
    3. Objects, files, or other intangible items containing trade secrets must be deleted immediately upon request by the disclosing party or, at the latest, upon termination of the contractual relationship, or returned to the disclosing party.

14. Reference citation

Both parties are entitled to mention the other party, including its logo and a brief description of the respective company, in their external communications. The information required for this purpose, such as logos, descriptive texts, version status, contact details, and support channels, must be provided in advance.

15. Community Guidelines

    1. Adjustments, changes, and additions to our platform services, as well as measures taken to identify and remedy malfunctions, may lead to a temporary interruption or impairment of accessibility. We will carry out major maintenance work that could lead to a malfunction of our services outside of normal business hours whenever possible.
    2. You may not transfer our platform services to third parties for commercial use.
    3. You must ensure that you are using the latest version of our platform. Older versions may not provide all functionalities and services.
    4. Links or functionalities on our platform may take you to external websites and software that are not operated by us and for which we are not responsible. Such links or functionalities are either clearly marked or recognizable by a change in the address bar of the browser or a change in the user interface.
    5. We protect our systems against virus attacks. However, virus attacks can never be completely ruled out. In addition, unauthorized third parties may send messages using our name without our consent, which may contain viruses or spyware, for example, or link to web content that contains viruses or spyware. We have no control over this. You should therefore check all incoming messages sent under our name. This also applies to any messages from other users.
    6. We are not responsible for any damage or loss of data that may occur as a result of installing software that does not originate from us on your end devices.
    7. As the partner profile is currently maintained and managed exclusively by us, partners do not have direct access to their profile. However, they are obliged to provide us with all information and documents necessary for the maintenance, updating, and presentation of their partner profile in a complete, correct, and timely manner. The partner remains solely responsible for the accuracy, timeliness, and legality of the information they provide. Changes communicated to us by the partner will be implemented by us in a timely manner.
    8. In the event of justified suspicion of misuse, security risks, or unauthorized access to data or systems, we are entitled to temporarily block the affected partner profile or take necessary security measures. We will inform you of this immediately and provide you with new access data within a reasonable period of time. You have no right to have the original access data restored.
    9. If the partner becomes aware of a security incident or unauthorized access to systems or data in connection with the use of the ReBe platform or the processing of orders via ReBe, they are obliged to inform us immediately.
    10. When using our platform, you are prohibited from:
      • Infringing on the property rights of third parties, such as trademarks, copyrights, and naming rights,
      • harass, insult, deceive, or disparage other users and third parties,
      • Using measures, mechanisms, or software in connection with the ReBe platform that may interfere with the function and operation of the ReBe platform.
      • Taking measures that may result in an unreasonable or excessive burden on the technical capacities of the ReBe platform.
      • Block, overwrite, or modify content,
      • add elements to the ReBe platform or change, delete, or modify elements of the ReBe platform in any other way,
      • copy, extract, or otherwise use graphic elements, or attempt to decompile the source code of the ReBe platform (subject to Section 69e of the German Copyright Act (UrhG)),
      • Use tools that interfere with the operation of the ReBe platform (in particular so-called “bots,” “hacks,” etc.).
      • obtaining premium features or other advantages, such as the systematic or automatic control of the ReBe platform or individual functions of the ReBe platform, through the use of third-party software or other applications, or exploiting program errors for one’s own benefit (“exploits”),
      • distribute unauthorized commercial advertising for third-party products or programs in connection with our platform services,
      • use malicious or virus-infected documents, files, third-party IT systems, and data in connection with our platform services,
      • use mechanisms, software, and scripts that go beyond the provided functionalities and interfaces, especially if this blocks, modifies, copies, or overwrites our platform’s services, and
      • our platform services through data modification (Section 303a StGB), computer sabotage (Section 303b StGB), falsification of evidence-relevant data (Sections 269, 270 StGB), suppression of evidence-relevant data (Section 274 StGB), computer fraud (Section 263a StGB), spying on data (Section 202a StGB), interception of data (Section 202b StGB) or other criminal offenses.

16. Your right to use our platform

(a) Software use & general information

  1. You receive a simple, non-exclusive right to use our platform services, limited in time to the duration of the partner agreement and unrestricted in terms of location.
  2. You are not authorized to exhibit, publicly reproduce, or, in particular, make publicly available, edit, redesign, translate, decompile, or otherwise modify our platform and our platform services. Your rights under Sections 69d (3) and 69e of the German Copyright Act (UrhG) remain unaffected.
  3. We are entitled to use our platform services, including new releases, as well as general know-how, experience, methods, and procedures developed in connection with the contract for other purposes (making them available to third parties, as open source software, etc.).
  4. Test and demo licenses are limited to a term of up to 30 days, unless otherwise agreed.

(b) Open Source Software

  1. We grant you the rights to the open source software included in our platform services which can be transferred to you in accordance with the license terms applicable to us. You are permitted to use our platform services exclusively within the scope of these license terms. We assume no warranty or liability for any use beyond this.

17. Rules for handling unlawful content

Die nachfolgenden Regelungen machen wir, da wir aufgrund des „Digital Services Acts“, der EU-Verordnung „(EU) 2022/2065 über einen Binnenmarkt für digitale Dienste der Europäischen Union“ dazu verpflichtet sind. 

Der Digital Services Act hat zum Ziel, Regeln aufzustellen, die ein sicheres, vorhersehbares und vertrauenswürdiges Umfeld für Person schaffen, die sich auf Plattformen und Websites (nachfolgend „Plattform“) wie unserer bewegen. 

Der Digital Services Act reguliert insbesondere den Umgang mit rechtswidrigen Inhalten auf unserer Plattform und verpflichtet uns zu konkreten Maßnahmen, die wir in diesen „Regeln zum Umgang mit rechtswidrigen Inhalten“ näher darstellen.

(a) Moderation & Begründung der Löschung rechtswidriger Inhalte

  1. Wir löschen, sperren oder beschränken rechtswidrige Inhalte auf unserer Plattform. „Inhalte“ sind jegliche Informationen, egal welcher Art. Diese Informationen sind „rechtswidrig“, wenn sie gegen unsere AGB, Leistungsbeschreibungen, Guidelines oder gegen geltendes Recht verstoßen.
  2. Rechtswidrige Inhalte können von Partnern, Kunden, Nutzern oder Dritten gemeldet werden. Zum Ablauf eines solchen Meldeverfahrens siehe unter lit. b „Melde- und Abhilfeverfahren“.
  3. Soweit gemeldete oder von uns selbst erkannte Inhalte rechtswidrig sind und wir sie gelöscht, gesperrt oder beschränkt haben, begründen wir unsere Entscheidung zur Löschung, Sperrung oder Beschränkung dieser Inhalte und etwaigen Aussetzung oder Beendigung der gesamten oder teilweisen Bereitstellung unserer Dienste gegenüber der Person, die die rechtswidrigen Inhalte veröffentlicht hat, soweit es sich nicht um einen irreführenden, umfangreichen kommerziellen Inhalt handelt. Wir teilen in dieser Begründung insbesondere folgende Punkte mit:
    1. Angaben darüber, ob unsere Entscheidung die Entfernung der Information, die Sperrung des Zugangs zu der Information, die Herabstufung der Information oder die Einschränkung der Anzeige der Information oder die Aussetzung oder Beendigung von Zahlungen in Verbindung mit dieser Information betrifft oder mit der Entscheidung andere genannte Maßnahmen im Zusammenhang mit der Information verhängt werden, und den etwaigen räumlichen Geltungsbereich der Entscheidung und die Dauer ihrer Gültigkeit;
    2. Tatsachen und Umstände, auf denen unsere Entscheidung beruht, gegebenenfalls einschließlich Angaben darüber, ob unsere Entscheidung infolge einer erfolgten Meldung oder infolge freiwilliger Untersuchungen auf Eigeninitiative getroffen wurde sowie, falls unbedingt notwendig, die Identität der meldenden Person;
    3. Angaben darüber, ob automatisierte Mittel zur Entscheidungsfindung verwendet wurden, einschließlich Angaben darüber, ob unsere Entscheidung in Bezug auf Inhalte getroffen wurde, die mit automatisierten Mitteln erkannt oder festgestellt wurden;
    4. Falls unsere Entscheidung nur „mutmaßlich“ rechtswidrige Inhalte betrifft, einen Verweis auf die Rechtsgrundlage und Erläuterungen, warum die Informationen auf dieser Grundlage als rechtswidrige Inhalte angesehen werden; 
    5. Falls unsere Entscheidung auf der mutmaßlichen Unvereinbarkeit der Informationen mit unseren AGB beruht, einen Verweis auf die betreffende vertragliche Bestimmung und Erläuterungen, warum die Informationen als damit unvereinbar angesehen werden;
    6. Informationen darüber, ob der betroffenen Person gegen die Maßnahme Rechtsbehelfe dagegen zur Verfügung stehen, insbesondere – je nach Sachlage – interne Beschwerdemanagementverfahren, außergerichtliche Streitbeilegung und gerichtliche Rechtsmittel.
  4. Sollte eine Straftat durch die Veröffentlichung der rechtswidrigen Inhalte begangen worden sein, oder sollte die Begehung einer Straftat hierdurch in Verdacht stehen, so teilen wir unseren Verdacht unverzüglich den Strafverfolgungs- oder Justizbehörden mit.

(b) Melde- und Abhilfeverfahren

  1. Wir prüfen rechtswidrige Inhalte, sobald wir von einem Verdacht der Veröffentlichung dieser rechtswidrigen Inhalte Kenntnis erlangen. Eine Kenntniserlangung geschieht entweder durch unsere eigene Überprüfung oder durch eine Meldung der entsprechenden Inhalte an unsere zentrale Kontaktstelle (siehe unten lit. c).
  2. Die Meldung von rechtswidrigen Inhalten ist direkt online möglich. Meldungen sind ausschließlich zu richten an unsere zentrale Kontaktstelle (siehe unten lit. c) und müssen mindestens folgende Angaben enthalten:
    1. Eine hinreichend begründete Erläuterung, warum die meldende Person oder Einrichtung die fraglichen Informationen als rechtswidrige Inhalte ansieht;
    2. Eindeutige Angabe des genauen Speicher-/Fundorts des Inhalts, z.B. durch präzise URL sowie weitere zweckdienliche Angaben zur Ermittlung der Inhalte, z.B. Screenshots, Anmerkungen etc.;
    3. Namen und E-Mail-Adresse der Melde-Person/-Einrichtung, es sei denn, es handelt sich um Straftaten im Zusammenhang mit sexuellem Missbrauch, sexueller Ausbeutung, Kinderpornografie, Kontaktaufnahme zu Kindern für sexuelle Zwecke; einschließlich Anstiftung und Beihilfe zu bzw. Versuch von den vorgenannten Straftatbeständen (vgl. EU-Richtlinie 2011/93/EU, Art. 3 bis 7);
    4. Eine Erklärung darüber, dass die meldende Person oder Einrichtung in gutem Glauben davon überzeugt ist, dass die in der Meldung enthaltenen Angaben und Anführungen richtig und vollständig sind.
  3. Wir schicken der Melde-Person/-Einrichtung unverzüglich eine elektronische Empfangsbestätigung der Meldung an die angegebenen Kontaktdaten.
  4. Die erhaltenen Meldungen prüfen wir zeitnah, sorgfältig, frei von Willkür und objektiv und entscheiden, ob die gemeldeten Inhalte, ohne eingehende rechtliche Prüfung, rechtswidrig sind und handeln entsprechend. Sollten die gemeldeten Inhalte rechtswidrig sein, werden wir diese umgehend etwa löschen, sperren oder beschränken und ggf. weitere in lit. a Abs. 3 genannte Maßnahmen vornehmen.

(c) Zentrale Kontaktstelle zur Kommunikation

Wir haben eine zentrale Kontaktstelle zur Kommunikation eingerichtet. Diese ist zuständig für die Entgegennahme von elektronischen Meldungen über den Verdacht von rechtswidrigen Inhalten durch die meldenden Personen sowie für Anfragen von Behörden oder Dritten mit Bezug zum Umgang mit rechtswidrigen Inhalten. Bitte beachten Sie für den Inhalt von Meldungen die Vorgaben der lit. b.

Sämtliche Personen, Behörden oder sonstige Stellen (Presse, Betroffene etc.) können rechtswidrige Inhalte mit unserem Verfahren direkt online melden unter:

Wir kümmern uns anschließend im Rahmen des in lit. a-c genannten Prozesses um alle Meldungen.

18. Laufzeit & Kündigung

    1. Dieser Vertrag kommt mit Unterzeichnung bzw. mit seiner Akzeptanz durch beide Parteien zustande. 

    2. Dieser Vertrag wird auf unbestimmte Zeit abgeschlossen. Er ist in Textform kündbar mit einer Frist von 4 Wochen.

    3. Das Recht der Parteien zur außerordentlichen Kündigung dieses Vertrags aus wichtigem Grund bleibt unberührt.

    4. Mit Beendigung dieses Vertrags sind Ihre Partner Leistungen nicht mehr über die ReBe Plattform buchbar. Sie sind jedoch weiterhin zur Erfüllung zuvor geschlossener Verträge mit Ihren Kunden und uns sowie zur gesetzlichen Gewährleistung (Mängelhaftung) oder Erbringung etwaiger Partner Leistungen gegenüber uns und Ihren Kunden verpflichtet, insbesondere bis zur vollständigen Erbringung Ihrer Leistungspflichten aus den zwischen Ihnen und Ihren Kunden abgeschlossenen Verträgen über Ihre Partner Leistungen. Die im Rahmen der Zusammenarbeit gespeicherten Partnerdaten werden 4 Wochen nach Beendigung des Vertrags unwiderruflich gelöscht. 

19. Übertragung auf Dritte 

    1. Beide Parteien sind berechtigt, den Vertrag auf ein mit ihnen verbundenes Unternehmen, einen Rechtsnachfolger oder ein die jeweiligen Leistungen übernehmendes deutsches Unternehmen zu übertragen. Hierüber werden sie sich jeweils in Textform vor der geplanten Übertragung informieren.

    2. Eine Übertragung des Vertrags auf einen ausländischen Dritten bedarf der vorherigen Zustimmung der jeweils anderen Partei. Im Falle Ihres Widerspruchs wird dieser Vertrag unverändert fortgeführt. Der Widerspruch gilt als wichtiger Grund zur außerordentlichen Kündigung des Vertrags.

20. Beschwerdemanagement und Mediation

    1. Aufgrund der besonderen Anforderungen an unsere Plattform als Online-Vermittlungsplattform gilt für unser Vertragsverhältnis die Plattform2Business Verordnung der EU. Diese verlangt insbesondere die folgenden Regelungen:

    2. Sollten Sie Beschwerden oder Fragen zu unseren Maßnahmen und Angeboten haben, können Sie sich jederzeit an uns über beschwerde@rebe.vision richten. Wir versuchen, Ihre Beschwerde innerhalb von 30 Tagen ab Eingang Ihrer Beschwerde, einvernehmlich mit Ihnen zu lösen. 

    3. Sollten wir nicht in der Lage sein, Ihre Beschwerde oder Frage für Sie in akzeptablem Maße zu lösen, bieten wir Ihnen, sofern von Ihnen in der individuellen Situation gewünscht, die Möglichkeit, sich im Rahmen einer Mediation mit uns auseinanderzusetzen und die Beschwerde bzw. Frage für Sie zu klären.

21. Schlussbestimmungen

    1. Auf die gesamte Vertragsbeziehung der Parteien findet ausschließlich das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts und des Kollisionsrechts Anwendung.

    2. Sofern Sie als Unternehmer agieren ist ausschließlicher Gerichtsstand das sachlich zuständige Gericht an unserem Sitz. Diese Gerichtsstandsvereinbarung gilt nicht, wenn für die Streitigkeit ein ausschließlicher Gerichtsstand nach den gesetzlichen Regelungen begründet ist. Sofern Sie als Verbraucher agieren, bestimmt sich der Gerichtsstand nach den gesetzlichen Regelungen.

    3. Änderungen und Ergänzungen der AGB sowie des gesamten zwischen uns bestehenden Vertrags bedürfen zu ihrer Wirksamkeit der Textform, sofern nicht die folgenden Erläuterungen besondere Form- oder Prozessvorschriften vorschreiben

      1. Änderungen und Ergänzungen, die aufgrund geänderter rechtlicher oder technischer Anforderungen an unsere Leistungserbringung von uns vorgenommen werden (müssen) und die keine negativen Auswirkungen auf die Ihnen zustehenden Leistungen haben, werden wirksam, wenn Sie einer Änderung nicht innerhalb eines (1) Monats nach Zugang einer Änderungsmitteilung in Textform widersprechen und wir Sie vorab auf Ihr Widerspruchsrecht hingewiesen haben. Widersprechen Sie der Änderung, gilt der Vertrag unverändert weiter und wir sind zur außerordentlichen Kündigung des Vertrags mit einer Frist von einem (1) Monat zum Ende des nächsten Kalendermonats berechtigt. 

      2. Änderungen und Ergänzungen des Vertrags, die wir aufgrund geänderter Leistungs-, Vergütungs- oder sonstiger kaufmännischer oder operativer Anforderungen vornehmen möchten und welche negative Auswirkungen auf unser Vertragsverhältnis für Sie haben, werden nur wirksam, wenn Sie ihnen ausdrücklich zustimmen. Diese Zustimmung kann über das Klicken eines Einwilligungs-Buttons in der Änderungsmitteilung (E-Mail oder Pop-Up im Rahmen der Nutzung unserer Leistungen) bzw. auf einem sonstigen von uns für Sie bereitgestellten einfachem & transparentem Wege erteilt werden. Bei ausbleibender Zustimmung gilt der Vertrag unverändert weiter und wir sind zur Kündigung des Vertrags im Rahmen der vertraglich vereinbarten Kündigungsfristen berechtigt.

      3. Die Textform gilt auch für eine Änderung dieser Formklausel. Der Vorrang individueller Nebenabreden bleibt unberührt. 

      4. Die vorgenannten Fristen gelten nicht und es besteht lediglich ein Informationsrecht über Änderungen des Vertrags, sofern die Änderungen zur Abwehr einer unvorhergesehenen und unmittelbar drohenden Gefahr notwendig sind, um Sie vor Betrug, Schadsoftware, Spam, Verletzungen des Datenschutzes oder anderen Cybersicherheitsrisiken zu schützen.

  1. Sollte eine der Bestimmungen des Vertrags unwirksam sein oder werden oder der Vertrag eine regelungsbedürftige Lücke enthalten, berührt dies die Wirksamkeit der übrigen oder lückenhaften Bestimmungen nicht. Die Parteien verpflichten sich in diesem Fall, die unwirksamen oder lückenhaften Bestimmungen durch wirtschaftlich den unwirksamen oder lückenhaften Bestimmungen am nächsten kommende Bestimmungen zu ersetzen bzw. zu vervollständigen.
